If the Club Member does not order by the deadline date as stated in the catalogue, he/she agrees to purchase the book constituting the Editor's Choice for that quarter and will be deemed to have placed an order therefor. | ||||||
| 3.2 | The Club Member’s membership endures for an initial period of 24 months, whereafter, unless terminated by the Club Member, the membership will continue on a month-to-month basis. | ||||||

| 4. | NON-CLUB MEMBER CUSTOMERS | ||||||

LEISURE BOOKS CLUB MEMBERSHIP AGREEMENT
| 1. | LEGALLY BINDING CONTRACT | |||||
| 1.1 | This Leisure Books Club Membership Agreement (“Agreement”) is an agreement between Leisure Books, a division of MIH Internet Africa (Pty) Ltd, registration number 2007/014128/07 (“LB”) and anyone whose application for Leisure Books Club membership is accepted by LB (“Member” or “you”). | |||||
| 1.2 | This Agreement governs your membership of the Leisure Books Club (“Club”) owned and operated by LB. Such membership entitles to you to purchase a wide range of books and other products at discounted prices, by ordering them from LB for delivery to your chosen address, but in exchange (and in order to make it possible for LB to offer such discounted prices to its members), imposes obligations on you to make minimum quarterly purchases over a 24 month period. | |||||
| 1.3 | Please ensure that you read all the provisions of this Agreement carefully. If you do not agree with any provision of this Agreement, do not proceed to apply for membership of Leisure Books. By applying for Leisure Books membership, you are deemed to have read this Agreement and agree with all its terms and conditions . | |||||
| 2 | ELIGIBILITY FOR MEMBERSHIP | |||||
| 2.1 | To be eligible to join the Club, you must be 18 years or older and resident in South Africa or Namibia. | |||||
| 2.2 | LB is entitled in its sole discretion to accept or reject any application for membership based on its standard criteria for Club membership, including creditworthiness. In determining your creditworthiness, you agree that LB may consult a licensed credit vetting agency. | |||||
| 3. | DURATION | |||||
| 3.1 | This Agreement, and thus your Club membership, commences once your application for membership has been accepted. | |||||
| 3.2 | Entry Date: Your entry date is the date when you were officially registered as a Leisure Books member and indicates the quarter when you need to order your first item to fulfil your quarterly commitment. | |||||
| 3.3 | Duration: Subject to earlier termination in terms of 12 below, this Agreement endures, as from the Entry Date, for an initial fixed 24 month period (“Initial Period”), whereafter, unless – | |||||
| 3.3.1 | renewed by agreement between you and LB; or | |||||
| 3.3.2 | terminated by you at the end of the Initial Periodonwritten notice to LB, it will automatically continue on a month-to-month basis (meaning that either you or LB are then entitled at any time to terminate it on one month’s written notice). | |||||
| 4. | INTRODUCTORY OFFERS | |||||
| To the extent that, when you sign up for Club membership, LB makes a special introductory offer to you (be it for discounted or free books or other products), please note that the discount or benefit so offered is granted to you on the basis of your 24 month membership commitment on the terms set out in this Agreement. Consequently, should you have accepted any such offer, and then your membership is terminated early (i.e. prior to the expiry of such Initial Period), LB reserves the right to impose a reasonable cancellation penalty having regard to the benefits/discounts you would have already received. | ||||||
| 5. | QUARTERLY BOOK CLUB CATALOGUES & STOCK AVAILABILITY | |||||
| 5.1 | As a member, you will be able to purchase discounted products as offered in LB’s ‘Club Catalogue’ (“Catalogue”), published every 3 months, for the periods January to March, April to June, July to September, and October to December (each of the aforegoing hereinafter referred to as a “Quarter”). | |||||
| 5.2 | Such Quarterly Club Catalogue is available on www.leisurebooks.com (“Web site”) but will also be posted to you. | |||||
| 5.3 | The items offered in the Catalogue, or in any other promotional material or catalogues that you as a member receive from LB, are subject to availability and usually on offer for a limited period. LB takes reasonable efforts to ensure that when stock is no longer available, that offers thereof are discontinued. However, should LB be unable to fulfil any order placed due to stock having sold out, LB will notify you and you will be entitled to a refund of the amount paid by you for such product. | |||||
| 6 | OBLIGATION TO REGULARLY ORDER BOOKS | |||||
| 6.1 | Minimum Orders : You agree to order at least one book every Quarter (i.e. every 3 months) from the relevant Club Catalogue. | |||||
| 6.2 | Deadline dates for orders: Club Members are required to order the item of their choice before the Quarterly deadline date which is prominently featured in the relevant Quarter’s Club Catalogue. The following dealine dates apply for the four Quarters:
1 st Quarter (Jan-March) : 25 February 2 nd Quarter (Apr – June) : 25 May 3 rd Quarter (July – Sep) : 25 August 4 th Quarter: (Oct – Dec) : 10 November If you fail to order from the Catalogue before the relevant Quarter’s deadline Date, then you agree to purchase the Editor’s Choice (being a book specially chosen for the Quarter by LB’s Book Selection Panel, for its outstanding interest and popular appeal) which book is prominently displayed in the Club Catalogue. Consequently, if you fail to place an order by the D-Date, you are deemed to have ordered the Editor’s Choice and will automatically be billed therefore and receive delivery thereof accordingly. |

| 6.3 | Please note that, although LB may also publish and send you other catalogues or special offers from time to time, including the ‘Plus Catalogue’ (“Other Offers/Catalogues”) – | |||||
| 6.3.1 | you are not obliged to order anything from such Other Offers/Catalogues; and | |||||
| 6.3.2 | if you do order something from such Other Offers/Catalogues, such order does NOT count towards the minimum orders you need to place from the Club Catalogue in terms of this Agreement. | |||||
| 7 | AMOUNTS PAYABLE BY YOU | |||||
| 7.1 | Purchase Prices: | |||||
| 7.1.1 | When referring to the price of products in the Catalogue or other promotional materials, (a) the “Recommended Retail Price or “RRP” is the price recommended by the publisher and which may be charged in most bookshops or other retail outlets; and (b) the “Club Price” is the price at which a product is offered in the Catalogue every Quarter and which may be up to 30% less than the RRP. | |||||
| 7.1.2 | The price of a book featured in any introductory offer is a once off specially discounted price that LB offers a member when he or she joins. It is always lower than the Club Price and the RRP. | |||||
| 7.1.3 | The prices of products other than books featured in the Catalogue and other promotions are also referred to as the “Club Price”. | |||||
| 7.1.4 | The price is displayed with the item order number. In the event of a sale or special offer, the sale or discounted price is displayed. | |||||

| 8.3 | Payment Default : If you fail to pay any amount owed by the due date for payment thereof, without prejudice to any of LB’s rights under this Agreement or in law, LB is entitled to charge interest on the overdue amounts at the prime rate plus 2% until paid in full. If you continue to fail to pay any amount owing despite LB having sent you more than one reminder to pay such amount, your details may be handed over to a debt collection agency in order to recover the money owing and you may be liable for any additional costs so incurred in attempting to enforce your obligation to pay. | |||||
| 9 | DELIVERY | |||||
| 9.1 | Delivery Address : Unless you agree to other delivery arrangements with LB, orders will be delivered to the post office (being the South African Post Office, or NamPost respectively) closest to the delivery address that LB has on record for you. Should your address change, you must advise LB in writing promptly thereof to avoid delivery to an incorrect address. LB will not be liable for a delivery made to your old address if you have not so advised LB. | |||||
| 9.2 | Delivery Time : LB will deliver the products ordered by you within approximately 20 working days from receipt of your order.
Speedpost(RSA) will take approximately 5 days from the time you order. Courier (RSA) will take approximately six days in main centres, 8 days in regional areas and 10 days in remote areas. |

| 9.3 | Out-of-stock situations: Should any item(s) you order be temporarily out of stock rendering LB unable to delivery it timeously to you, LB will advise you of this and you will be entitled to either wait for the next consignment (without having to order again), or cancel such order and obtain a refund (if you’ve already paid). Should the item have become permanently out-of-stock, your order will be cancelled and if you have already paid, you may either obtain a refund, or request a credit on your account which can be used towards your next order, or order an alternative item. | |||||
| 10 | REFUND POLICY | |||||
| 10.1 | General Right to Return : If you are not completely satisfied with the product delivered to you for any reason, as a Club member, you are entitled to return such product for a replacement product or a full refund (where you have already paid), provide that: | |||||
| 10.1.1 | You must return the product within 14 days of it having been delivered to you; | |||||
| 10.1.2 | The product must be undamaged, unused and in its original packaging; | |||||
| 10.1.3 | You will still be liable for the cost of returning such product to LB; and | |||||
| 10.1.4 | any such return does not detract from your obligation to order and keep at least one product per Quarter from the relevant Catalogue. | |||||
| 10.2 | Defective, damaged & unsuitable Products: Should any product you receive be defective, damaged or unsuitable for the purpose for which it is generally intended (i.e. a product having a ‘Problem’), you will be entitled to return same (at LB’s expense) for, at your election, a full refund or replacement/repair PROVIDED that the Problematic product is returned within 6 months from delivery thereof to you. Please note in this regard that: | |||||
| 10.2.1 | a ‘defect’ is not something resulting from fair wear and tear; | |||||
| 10.2.2 | ‘damaged’ means that the product must be damaged when you receive it and not be damaged by you or anyone else after having received it; | |||||
| 10.2.3 | A book is not ‘unsuitable’ based on the nature of its content, or whether you enjoyed the book or not; and | |||||
| 10.2.4 | LB or LB’s supplier will examine the returned product to determine whether the alleged Problem is in fact legitimate and if not, you will be liable for the costs of returning such product to LB for inspection and re-delivering it to you. Consequently, we urge you to report any problems you discover, promptly after having discovered them. | |||||
| 11 | SPECIAL PROMOTIONAL OFFERS & COMPETITIONS | |||||
| 11.1 | General: LB may from time to time conduct a variety of promotional offers and/or competitions which all, or certain, Club members are entitled to participate in. In this regard you acknowledge and agree that: | |||||
| 11.1.1 | due to the cost savings associated with conducting promotional activity via the internet as opposed to via the post or other means, certain promotions/competitions may only be conducted via the Web site and/or email, and will thus only be marketed to those of our Club members who visit our Web site or who have provided LB with an email address; | |||||
| 11.1.2 | the Club is distinct from and separate to the ‘Leserskring’ club (a similar club aimed at Afrikaans speaking persons) and consequently promotions/competitions or products offered to ‘Leserskring’ club members are not relevant to the Club and you are not entitled thereto by virtue of your membership of the Club; | |||||
| 11.2 | Bonus books: A number of books in every Club Catalogue are marked as “Bonus Books”. These books are offered at extra discounts over and above the usual Club discounts on the RRP. These additional discounts are offered as a benefit to Members who have been in the Club for 24 months or more and who have already ordered one other item from the Club Catalogue. This is LB’s way of saying thank you to long-standing Members. | |||||
| 11.3 | Book Bounty: The Book Bounty promotion rewards members who buy frequently. The offer is available to members who buy 6 books from the Club Catalogues within a 6 month period. When the member fulfils this condition he/she is eligible to choose a free book from a pre-determined selection of books, provided the qualifying member claims such reward within 3 months from having qualified therefore. | |||||
| 11.4 | Competitions: Members may choose to participate in any of the lucky draw competitions published in the Catalogues, otherwise on the web site, or as part of any other promotional offer. The specific entry requirements and terms and conditions of the competition appear alongside the competition details. | |||||
| 12 | TERMINATION | |||||
| 12.1 | Your limited ability to terminate earlier : You are entitled to terminate this Agreement, and thus your Club membership, on written notice to LB PROVIDED you return any products you may have already received from LB pursuant to this Agreement (including the introductory offer products, if applicable) unused, undamaged and in the original packaging, within 14 days of having received delivery thereof (“Early Termination Period”). Note that you will be liable for the cost of returning such products. Subject to the Early Termination Period, you commit to the 24 month Initial Period of membership and consequently, should you wish to terminate after the Early Termination Period, but prior to the expiry of the Initial Period for any reason, you may be liable to pay reasonable cancellation penalty/ies. | |||||
| 12.2 | Termination for Breach: Should either you or LB (“defaulting party”) fail to comply with any of its obligations under this Agreement, and fail to remedy such default within 14 days after the either of us (“non-defaulting party”) having notified the defaulting party thereof in writing, the non-defaulting party is entitled, without prejudice to its other rights under the Agreement or in law, to cancel the relevant order and/or this Agreement entirely (in the latter instance, thereby terminating your Club membership) and to claim any damages suffered as a result of the breach. | |||||
| 12.3 | Should this Agreement (and thus your Club membership) be terminated for any reason, you remain liable for any amount then owing to LB in respect of products already purchased by you or otherwise. | |||||
